These Terms & Conditions (“Terms”) govern your use of the UATChem website (https://uatchem.com) and the purchase of chemical raw materials from UATChem (“we”, “our”, or “us”). By accessing our website or placing an order with us, you agree to be bound by these Terms.

1. Product Information

We make every effort to ensure that product descriptions, specifications, CAS numbers, and technical data on our website are accurate and up to date. However, we do not warrant that product descriptions, pricing, or other content is complete, reliable, current, or error-free. If a product we offer is not as described, your sole remedy is to return it in unused condition.

2. Quotations and Orders

All quotations provided by UATChem are valid for 30 days from the date of issue, unless otherwise stated. Prices are subject to change based on raw material costs, market conditions, and exchange rate fluctuations. A binding contract is formed only when we receive your written purchase order and issue our sales confirmation.

3. Payment Terms

Standard payment terms are 30% T/T in advance, balance against copy of B/L, unless otherwise agreed in writing. For first-time customers, we may require 100% T/T in advance or other secure payment methods. All bank charges outside China are for the buyer’s account.

4. Packaging and Labeling

Products are packaged in standard export packaging (drums, bags, IBC totes, or as specified). Custom packaging and private label services are available upon request at additional cost. We provide standard export marks; buyer-specific shipping marks must be provided in writing before production.

5. Shipping and Delivery

We ship by sea, air, or express courier as per the agreed terms (FOB, CIF, EXW, etc.). Delivery dates are approximate and are not guaranteed. We are not liable for delays caused by customs clearance, port congestion, force majeure events, or reasons beyond our control. Risk of loss transfers to the buyer once goods leave our warehouse as per the agreed Incoterms.

6. Quality and Compliance

Every shipment is accompanied by a Certificate of Analysis (COA). Technical Data Sheets (TDS) and Safety Data Sheets (SDS) are available upon request. We ensure products meet the specifications stated on the COA. However, we do not accept liability for improper use, storage, or application of our products outside their intended specifications.

7. Returns and Claims

Any claim for damaged, incorrect, or short-shipped goods must be made within 7 days of receipt, accompanied by photographic evidence and original packaging. Approved returns must be shipped back in original packaging and in resalable condition. Shipping costs for approved returns are borne by the party at fault.

8. Limitation of Liability

UATChem’s total liability for any claim arising from the purchase of our products shall not exceed the invoice value of the specific goods giving rise to the claim. We are not liable for any indirect, incidental, or consequential damages, including loss of profits, business interruption, or loss of data.

9. Intellectual Property

All content on this website, including product descriptions, images, logos, and text, is the property of UATChem and is protected by intellectual property laws. You may not reproduce, distribute, or use any content without our prior written permission.

10. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any dispute arising from these Terms or the sale of our products shall be resolved through friendly negotiation. If negotiation fails, either party may submit the dispute to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration.
